Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, applications, and services offered by Fone4Table, Inc. ("Fone4Table", "we", "us", or "our") (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

If you do not agree, do not use the Services.

Fone4Table provides software tools to help restaurants manage reservations and related operations. Features may vary by plan, region, or configuration. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable.

We may use suppliers, contractors, and automated systems (including AI-assisted features) in connection with providing the Services.

You may need to create an account to access certain features. You agree to provide accurate information and to keep credentials confidential. You are responsible for activity that occurs under your account, except where caused by our breach of these Terms.

You must comply with applicable laws and be able to form a binding contract (or have proper authority) to use the Services.

You agree not to misuse the Services. For example, you must not: (a) violate law or third-party rights; (b) attempt to probe, scan, or test the vulnerability of the Services without authorisation; (c) interfere with the operation of the Services or other users’ access; (d) attempt unauthorised access to accounts, data, or systems; (e) upload malware or harmful content; (f) use the Services to send unlawful spam; or (g) reverse engineer the Services except where applicable law permits despite this limitation.

We may investigate and suspend or terminate access for violations, and cooperate with law enforcement as appropriate.

Certain Services may be offered on a subscription or usage basis. Fees, billing cycles, and taxes (where applicable) will be presented at purchase or in your order flow. If you use a free trial, we may charge you when the trial ends unless you cancel in accordance with the stated terms.

Unless otherwise stated, fees are non-refundable except as required by law. We may change fees with reasonable advance notice.

You may submit or make available data through the Services (“Customer Data”). You retain your rights in Customer Data, and you grant Fone4Table a worldwide licence to host, process, and display Customer Data solely to provide and improve the Services, enforce these Terms, and comply with law.

You are responsible for the legality of Customer Data and for providing any required notices and obtaining any required consents for processing. Our Privacy Policy explains how we handle personal information in connection with the Services.

Fone4Table and its licensors own the Services, including software, branding, documentation, and non-Customer Data content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription or authorised access period.

Feedback you provide may be used by us without obligation to you.

The Services may integrate with or link to third-party products. Those third parties are not controlled by us; their terms and privacy practices apply to your use of their products.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FONE4TABLE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FONE4TABLE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED BRITISH POUNDS (£100) IF NO FEES APPLIED.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend and indemnify Fone4Table and its affiliates from third-party claims, damages, and costs (including reasonable solicitors’ fees) arising from your Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our material breach of these Terms.

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, if necessary for security or legal reasons, or if required by a supplier or payment partner.

Upon termination, your right to use the Services ceases. Provisions intended to survive (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales will have exclusive jurisdiction, except that consumers may have non-waivable rights to bring legal proceedings in their home country under applicable mandatory law.

These Terms constitute the entire agreement between you and Fone4Table regarding the Services and supersede prior discussions. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
